Code of Conduct

The Member Rules and Regulations govern the operation of Gemlight Publishing LLC. (the "BOOKLinx") and are agreed to by all members when they join the Club. The Code of Conduct is an integral part of the Rules and Regulations and establishes guiding principles for compliance with these provisions. The Code is also critical in setting expectations for acceptable behavior to ensure the peaceful enjoyment of the Club by all, to protect the welfare of our members. The Code of Conduct embraces a set of core and shared values focusing on our members, our people, and our Club. At the core of our values are integrity, respect, courtesy, and support. Through a common set of shared values, we will enhance our commitment to excellence, provide the best possible membership experience, and continue attracting and retaining successful writers and creating a financially sustainable future for the Members. Terms & Condition

1. Introduction

 BOOKLinx is a members' club that provides an online marketplace platform connecting writers globally.

These terms and conditions (the Terms) govern your BOOKLinx membership and are made between you (the "Member", "you", "your"), and  BOOKLinx a company registered under Gemlight Publishing LLC  ("BOOKLinx", "we", "us", "our"). As a BOOKLinx Member, you agree to be bound by these terms.

2. Interpretation

In these terms, the following words shall have the following meanings:

The MAP means the BOOKLinx Member Accountability Partner, where you assign a team member for all account need and sales projections.

 MVA means a Most Valuable Author. Fee means the current annual or quarterly BOOKLinx membership fee which is detailed on the Site. 

Referral(s) means a Member's friend or family member who is invited by the member to sign up.

Member(s) means a member of the BOOKLinx Club. 

Site means, together, the BOOKLinx website.

Commission(s) means a value %member received by BOOKLinx.


3. Your membership

 You must be 18 years or older to be a Member. In order to become a Member and make sales, you must purchase a plan and create an account. Once created, you can update or change your personal details in the portal at any time. Any information you provide to us must be accurate, complete and up-to-date and you agree to update such information as needed. You are responsible for all activities that occur under your account. 

You must treat any usernames or passwords associated with your membership as confidential and you agree not to disclose them to any third party.

3.1. Membership

There is four standard membership. You will be entitled to all the rights and privileges exercisable for that membership.  You may not transfer your membership to anyone else.

3.2. Membership period

Your membership commences as soon as you have registered as a member on the portal. The annual membership is valid for twelve (12) consecutive months (the Annual Term) and will automatically renew each year on the anniversary of registration, unless your membership is terminated in accordance with these terms. NO quarterly membership option is available at this time. The monthly membership is only valid at this time and will automatically renew the 7th of every month , unless terminated or canceled in accordance with these terms. 

You must be an active Member at the time and date of your attendance of any sales or payouts.

4. Membership fees & charges

The Fee varies according to how many listings are added.

The Fee for annual membership is payable in full up front at the time of registration and on each anniversary of the date of registration, provided that membership has not been terminated in accordance with these terms.  For Members who choose to subscribe on a monthly basis, the Fee is payable monthly, provided membership has not been terminated in accordance with these terms. 

The Fee is payable by an internationally valid debit or credit card and will be deducted using the payment type selected during the membership registration process. Any changes to payment details must be done at least 72 hours before any payment is due to us. 

If for any reason your selected payment method is unsuccessful, we will send you an email informing you of this. You will have 72 hours to make a successful payment before your membership is suspended. If your membership is suspended, you will be required to make the payment within 10 days of the suspension in order to reactivate access to your membership. If you do not make the payment within this 10-day time period, your account will automatically terminate, and all sales will be forfeited. If you want to re-join, you will be required to re-register as a Member.

5. Cancellation

You have the right to cancel your membership within thirty (30) days for any reason. The cancellation period will expire after thirty (30) days from the day you registered to become a member on the portal. To cancel these terms and your membership, please email your request to us at, with the subject: cancel and request refund. Your request will be handled within three working days.

If you cancel this contract within thirty (30) days of registering to become a member on the portal, we will reimburse to you the fee. All refunds are made without undue delay. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. However, some payment networks and some merchant transaction processors have the right to levy a fee on such refund transactions. You acknowledge and agree that such decisions are outside of BOOKLinx control.

If this thirty (30) day cancellation period has lapsed, you will remain entitled to cancel your membership in accordance with the remainder of this clause 5.

5.1. Cancelling annual membership

You can cancel your annual membership at any time during the Annual Term. You will not be entitled to a refund of the Fee or any part of the Fee already paid. Any commission left in your account at the end of your membership will be forfeited. 

If you do not wish to automatically renew your annual membership, you must cancel directly online by logging in to your account at least 48 hours in advance of the renewal date.

5.2. Cancelling monthly membership

You can cancel your monthly membership at any time. No refund will be made on the unused portion of the cancelled monthly membership. Any commission left in your account at the end of your membership will be forfeited.

If you do not wish to automatically renew your monthly membership, you must cancel directly online by logging in to your account at least 48 hours in advance of the renewal date.

5.3. Cancellation by us

We shall have the right, immediately and without notice, to block, restrict, suspend, or terminate your membership, if, in our sole opinion, you are in breach of any of the provisions of these terms. Any commission will be refunded at paid (i.e. pro rata) value.

If you cease to be an employee, officer or customer of the company through which membership was made available, that company may request that we cancel your membership.

We reserve the right to suspend and terminate membership of any Member displaying behavior, language and attitude which are contrary to internationally accepted standards when visiting one of our Partner’s locations.

6. Your Responsibilities

It is your responsibility to read and understand any such terms and conditions. You accept that Partner terms and conditions may be subject to change. 

These terms, a current copy of which is always available on the Site. We may revise these terms at any time on notice to you. Continued participation by you as a Member shall be deemed acceptance by you of any revised terms and conditions.

You agree to comply with (available printed books on hand for delivery at all time) You must notify BOOKLinx immediately when inventory is low our out of stock.

It is your responsibility to get customers’ orders shipped out in a timely manner, not exceeding 3-5 business day.

7. Sales

When you make a Sale, a report is generated. All proceeds paid to member after taxes, shipping and merchant fees  deducted.

Members may request sales be in Escrow until suitable amount is added.

Members will receive sales payout every month based on previous week sale report. All commission is paid the third Friday of each month and MVA if applicable paid on the 7th of each month.

8. Your privacy

In respect of any and all personal data you provide to us as part of your membership, we will be the data controller for the purposes of data protection law. We agree to comply with the principles of data protection law and our obligations thereunder.  Personal data submitted to us by you will be processed in accordance with our Privacy & Cookies Policy Please note:

We may use the contact details provided by you to communicate with you in relation to your membership. 

To the extent permitted by law, we may use the information you provide to us to update you on our latest deals and promotions via email or phone. If you do not want to receive marketing communications from us, please notify us at or unsubscribe using the link at the end of our communications.

The use of the Site involves the electronic transmission of personal data through third party connections. We do not operate or control these connections and cannot guarantee the privacy or security of these data transmissions.

9. Interruptions in our service

Whilst we take every care to maintain the continuity of the Site, the internet is not always a stable medium, and errors, omissions, interruptions of service and delays may occur at any time. We do not accept any liability for any Site downtime, or your inability to make sales as a result, and you agree that we shall have no obligation or responsibility to operate the Site or any particular part of it.

10. Intellectual property

All title, rights and interest in any copyright, database rights, trademarks and design rights and any other intellectual property rights ("Intellectual Property") in the Site are and shall remain the property of BOOKLinx registered members who listed, or our licensors. 


The Site and its contents is wholly owned by Gemlight Publishing LLC. No part of the Site may be reproduced, distributed, or transmitted in any form or by any means without the prior written permission of Gemlight. All third party trademarks referenced on the Site remain the property of their respective owners. If you would like to distribute or re-purpose any part of this material, please contact

11. Compliance

You shall comply with all laws, regulations, rules, orders or other legislative provisions which are applicable to you in connection with these terms.

12. Agreement

These terms shall contain all the terms agreed between you and us regarding their subject matter and shall supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing.

13. Severability

If and to the extent that any provision of these terms is held to be illegal, void or unenforceable, such provision shall be given no effect and shall be deemed not to be included in these terms but without invalidating any of the remaining provisions in these terms.

14. Waiver

No delay or failure by us in enforcing any of these terms and no partial exercise by us of any right hereunder shall be deemed to be a waiver of any right we may have under these terms.

15. Assignment

We may transfer, assign or otherwise deal with these terms on thirty (30) days’ notice to you. Your rights under these terms will not be prejudiced. You may not under any circumstances transfer, assign or otherwise deal with these terms.

16. Terms Revisions

We may revise these terms at any time on notice to you. Continued participation by you as a Member shall be deemed acceptance by you of any revised terms and conditions.

Privacy & Safety

BOOKLinx is fully committed to protecting everyone’s right to privacy.


It is the Committee’s responsibility to ensure that relevant Member officials are familiar with their obligations under the Acts and that the handling of both personal and health information is done so in accordance with the law.


In particular:  

BOOKLinx will only collect personal and banking information that is required for its fees and payments.

Information will only be used for the purpose for which it was collected

If information is required for other purposes other than those for which it was collected, agreement will be sought beforehand

Information will only be accessed by Team Officials and Employee.

Information will be securely stored

Information will be destroyed if it is no longer needed for any purposes



Collection and Consent

On the Membership’s Registration Form, clearly define the purpose for collection of information and a consent statement re: distribution of information for signing if consent is given. (This must be signed by a parent if for a minor.

The information collected should only be distributed for the stated purposes – so list all the likely possibilities.

If there is a request for member data for an alternative reason, permission must be sought first. E.g. an equipment supplier wants to send out advertising material to your members.

Where consent is not given to distribute information, the member’s details must be stored securely and is best kept in a separate database to avoid error.



Storage and Access to Information

Information should be stored centrally (i.e. housed together with a designated person) and is best kept secured.

Only those officials stated on the Registration Form should be provided with member information and they should only receive information about the people they need to

When information is not required for any purpose, it should be destroyed.
